Situation

To manage a project and bring it to a successful end, or just to provide valuable know-how and experience, there is often a need for some temporary support from an outside expert. As soon as this task has been completed, he leaves the company again so that there are no remaining ongoing costs.

Here are some typical examples for such situations in which icima can always provide help and support.

  1. SOX (Sarbanes-Oxley compliance)
    There is no exception: all significant subsidiaries, including those abroad, of a US corporation listed at the stock exchange, must comply with this still relatively new law, and ensure that the related audits do not reveal any major deficiencies. This requires a careful documentation of all main business processes in the form of flow charts and text. Thereafter, it must be documented that each transaction has been treated, step by step, according to this process description, and that this has been verified by another person.
  2. DD (Due diligence)
    When a company is to be sold, it is part of the internationally applied standard practice that the vendor makes all essential information available for the potential buyer(s) in a specifically created data room so that the latter can study it in detail. This information includes all key financial data, documents and contracts, as well as the business plan with all related auxiliary plans.
  3. PMI (Post-Merger-integration)
    After the acquisition of a company, the objective is often not to just keep it as an investment but to integrate it into the company or group of the buyer. This requires people who know what must be done and how, who are available at the right point in time and who above all know the language and business practices of the country where the new acquisition is located, or better even of both countries concerned.
